Agreement overview

This Agreement sets forth the terms and conditions by which the Producer (Taff Eno) grants to the Artist a license to use the beat under this lease plan under the following terms and conditions.

1. License grant

The Producer hereby grants to the Artist a non-exclusive, non-transferable, limited license to use the Beat under the following terms:

1.1 Delivery

The Artist will receive one (1) MP3 of the Beat, which will be tagged with the Producer’s tag.

1.2 Recording and Distribution

The Artist is allowed to record and distribute music using the Beat under the following conditions:

  • The Artist is limited to distribute upto fifty (50) copies of the music recorded with the Beat.
  • The Artist will have the right to publish and monetize the music recorded with the Beat.

1.3 Live Performances

The Artist is allowed to perform live using the Beat at paying performances.

1.4 Music Video

The Artist is allowed to record and distribute upto one (1) music video using the Beat.

1.5 Radio Broadcasting

The Artist is NOT permitted to broadcast the music recorded with the Beat to any radio stations.

2. Ownership and Rights

2.1 Ownership

The Producer retains full ownership of the Beat. This Agreement does not transfer any ownership rights of the Beat to the Artist.

2.2 Right to Sell

The Producer will retain the rights to sell the Beat to other parties.

2.3 Publishing Rights

The Artist will have publishing rights for the music recorded with the Beat.

3. Royalties

The royalties generated from the music recorded with the Beat will be split as follows:

  • The Producer will receive 90% of the royalties.
  • The Artist will receive 10% of the royalties.

4. Limitations

4.1 Number of Copies

The Artist is limited to distributing a maximum of 50 copies of the music recorded with the Beat.

4.2 Number of Music Videos

The Artist is allowed to record and distribute upto one (1) music videos using the Beat.

4.3 Radio Stations

The Artist is NOT allowed to broadcast the music recorded with the Beat to any radio stations.

5. Compesation

The Artist agrees to pay the Producer a fee of Ksh.0 for the rights granted under this Agreement. This fee is non-refundable and non-recoupable.

6. Termination

6.1 Breach

This Agreement may be terminated by the Producer if the Artist breaches any of the terms of this Agreement.

6.2 Effect of Termination

Upon termination, the Artist must cease all use of the Beat and destroy any copies of the Beat in their possession.

7. Indemnification

The Artist agrees to indemnify, defend, and hold harmless the Producer from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from the Artist’s use of the Beat.

7. Miscellaneous

8.1 Governing Law

This Agreement will be governed by and construed in accordance with the laws of the Republic of Kenya.

8.2 Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings.

8.3 Amendments

This Agreement may only be amended in writing signed by both parties.

8.4 Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

The Producer retains the right to sell the Beat to other parties.

2.3 Publishing Rights

The Artist will have publishing rights for the music recorded with the Beat.

3. Royalties

The royalties generated from the music recorded with the Beat will be split as follows:

  • The Producer will receive 50% of the royalties.
  • The Artist will receive 50% of the royalties.

4. Limitations

4.1 Number of Copies

The Artist is limited to distributing a maximum of 2000 copies of the music recorded with the Beat.

4.2 Number of Music Videos

The Artist is allowed to record and distribute only one (1) music video using the Beat.

4.3 Radio Stations

The Artist is allowed to broadcast the music recorded with the Beat to a maximum of two (2) radio stations.

5. Compesation

The Artist agrees to pay the Producer a fee of Ksh.3,500 for the rights granted under this Agreement. This fee is non-refundable and non-recoupable.

6. Termination

6.1 Breach

This Agreement may be terminated by the Producer if the Artist breaches any of the terms of this Agreement.

6.2 Effect of Termination

Upon termination, the Artist must cease all use of the Beat and destroy any copies of the Beat in their possession.

7. Indemnification
